You must be 18 years or older to use Ovr Finance™. By using the Services, you represent and warrant that:

• You are legally capable of entering into a binding contract,
• You are not prohibited from accessing the Services under applicable laws, and
• You will comply with these Terms at all times.

If you access Ovr Finance™ from outside the United States, you are responsible for complying with local laws where you reside.

Ovr Finance™ is a personal finance and debt-management platform designed to help users visualize spending, track payments, and plan for debt reduction.

Ovr Finance™ is not a financial institution, lender, broker, or registered investment adviser. All content and recommendations are educational and informational only and should not be interpreted as financial, legal, or tax advice. All decisions made using Ovr Finance™ are at your own discretion and risk.

By creating an account, accessing, or using Ovr Finance™, you signify your acceptance of these Terms. We may update these Terms periodically to comply with evolving laws and platform requirements. The "Last Updated" date reflects the most recent version. Continued use of the Services after updates constitutes your acceptance of the revised Terms.

You agree to:

• Provide truthful and complete information when creating an account.
• Keep your login credentials confidential and secure.
• Use the Services only for lawful, personal purposes.
• Not upload or transmit any harmful code, spam, or content that violates laws or third-party rights.

You are solely responsible for all activity that occurs under your account, whether authorized or not.

Ovr Finance™ integrates with trusted third-party providers such as Plaid, Stripe, Apple, and Google to deliver services like account linking, payment processing, and app distribution. Each third party maintains its own Terms of Service and Privacy Policy.

We do not control or endorse third-party content or services, and Ovr Finance™ is not responsible for:

• Errors, outages, or losses arising from third-party systems;
• Misuse of credentials entered into third-party portals; or
• Data handling practices outside our control.

Your continued use of such integrations constitutes your consent to their terms.

If you purchase a subscription or premium feature:

• You authorize recurring billing through Stripe, Apple App Store, or Google Play.
• Fees are charged in advance and non-refundable, except where required by law.
• You may cancel anytime through your app-store settings or account portal.

We reserve the right to modify pricing, plans, or features with reasonable notice.

All trademarks, designs, text, logos, icons, and software belong exclusively to Ovr Finance™ or its licensors and are protected by U.S. and international copyright laws.

You may not:

• Copy, modify, distribute, reverse-engineer, or resell any part of the Services;
• Use Ovr Finance™ branding or proprietary materials without written consent;
• Scrape or harvest data for commercial purposes.

Unauthorized use may result in termination and legal action.

Your privacy is protected under our Privacy Policy, which complies with:

• U.S. Federal and State Privacy Laws (FTC Act, CCPA/CPRA, Virginia CDPA, Colorado CPA)
• EU General Data Protection Regulation (GDPR)
• UK Data Protection Act (DPA 2018)

If you are located in the EU/EEA or UK, you may exercise your rights to access, rectify, delete, or restrict processing of your data and contact your local data authority.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Ovr Finance™ does not guarantee accuracy, timeliness, or completeness of data provided through the Services or third parties.

We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Ovr Finance™ is not responsible for:

• Financial losses or missed payments caused by user error or third-party outages;
• Temporary interruptions or latency; or
• Unauthorized access caused by weak or shared credentials.

To the maximum extent permitted by applicable law, Ovr Finance™, JRM Creative Ventures LLC, and their affiliates, officers, and employees shall not be liable for any:

• Indirect, incidental, special, punitive, or consequential damages;
• Loss of profits, revenue, or data;
• Service interruptions beyond our control.

Where liability cannot be excluded, it is limited to the lesser of: (a) $100 USD or (b) the total fees you have paid in the previous 12 months.

You agree to indemnify, defend, and hold harmless Ovr Finance™, JRM Creative Ventures LLC, and their affiliates from any claim, loss, or expense arising from:

• Your violation of these Terms,
• Your misuse of the Services, or
• Your infringement of any third-party rights.

We may suspend or terminate your account at any time, with or without notice, if you:

• Violate these Terms,
• Misuse or disrupt the Services, or
• Are required by law to be suspended.

Termination does not waive our right to pursue legal remedies for prior conduct.

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles, even though JRM Creative Ventures LLC is a New Jersey–registered entity.

Any dispute, claim, or controversy shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in New York County, NY. You and Ovr Finance™ waive any right to a jury trial or to participate in class actions.

For EU/UK consumers, disputes may alternatively be resolved in your country of residence under applicable consumer protection law.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.

These Terms, along with our Privacy Policy and any supplemental notices, constitute the entire agreement between you and Ovr Finance™.
